Customer Service Terms & Conditions

These Customer Service Terms and Conditions (“Terms”) govern services, equipment, materials, projects, proposals, estimates, work orders, statements of work, and related services provided by WNC IT Pro LLC (“WNC IT Pro,” “Company,” “we,” “us,” or “our”) to the person or entity identified in the applicable proposal, estimate, work order, statement of work, service agreement, or invoice (“Customer”).

By signing or electronically accepting a proposal, work order, statement of work, service agreement, or other document that expressly incorporates these Terms, Customer agrees to be bound by these Terms.

1. Scope of Services

WNC IT Pro provides business technology and infrastructure services that may include managed IT services, IT support, network support, cybersecurity services, IT consulting, virtual CIO services, business networking, structured cabling, network cabling, fiber-optic cabling, business Wi-Fi, low-voltage infrastructure, business telephone and VoIP systems, hotel telephone systems, restaurant POS infrastructure support, cloud services, backup and disaster-recovery services, Starlink installation and network integration, intercom/PA systems, and related technology services. The specific services provided to Customer shall be those identified in the applicable written proposal, estimate, work order, statement of work, or service agreement. Any service, equipment, labor, material, or work not reasonably included in the agreed scope may constitute additional work and may result in additional charges.

2. Proposals, Estimates and Pricing

Unless expressly identified as a fixed-price agreement, estimates are good-faith projections based upon information and conditions reasonably available when prepared. Pricing may require adjustment because of concealed conditions, inaccurate or incomplete information supplied by Customer, Customer-requested changes, material or equipment price changes, additional labor, inaccessible areas, code requirements, existing infrastructure deficiencies, or circumstances that could not reasonably have been identified before work began. A proposal may specify an expiration date after which pricing and equipment availability are subject to confirmation.

3. Change Orders and Additional Work

Customer-requested changes or circumstances outside the original scope may constitute additional work, including additional cable runs, equipment relocation, additional equipment, troubleshooting pre-existing problems, repairing another contractor's work, replacing defective Customer-owned equipment, changes to system design, additional programming, after-hours work requested by Customer, or work required because the site differs materially from information originally provided. Where reasonably practical, WNC IT Pro will obtain Customer authorization before performing material additional work.

4. Customer Authorization and Authority to Contract

Customer represents that Customer owns the premises where work will be performed or possesses sufficient authority from the owner to authorize the work. Customer authorizes WNC IT Pro and its employees, contractors, and authorized representatives to access those portions of the premises and technology systems reasonably necessary to perform the contracted work. Unless expressly included in WNC IT Pro's scope, Customer is responsible for obtaining landlord, property-owner, building-management, corporate, or other third-party approvals necessary for the project.

5. Customer Cooperation and Site Readiness

Customer shall provide reasonable and timely access to work areas, network closets, telecommunications rooms, equipment, computers, servers, ceilings, walls, electrical service, Internet service, passwords, administrative credentials, and other resources reasonably necessary to perform the work. Customer shall disclose known conditions that may materially affect the work. If scheduled work cannot reasonably be performed because the site is not ready or required access, utilities, credentials, prerequisites, or representatives are unavailable, WNC IT Pro may reschedule the work and charge reasonable additional trip, labor, mobilization, or rescheduling costs.

6. Existing and Concealed Conditions

WNC IT Pro is not responsible for conditions that could not reasonably be discovered before work begins, including undocumented wiring, concealed structural conditions, blocked or damaged conduit, abandoned cabling, improper prior installations, defective electrical systems, water intrusion, hazardous materials, damaged cabling, defective equipment, inaccessible pathways, building-code deficiencies, or other concealed conditions. Discovery of such conditions may require additional work, revised pricing, a change order, or suspension of affected work until the condition is corrected. WNC IT Pro does not assume responsibility for correcting pre-existing deficiencies unless expressly included in the agreed scope.

7. Customer Data and Backup Responsibility

Customer is responsible for maintaining current, complete, and tested backups of all important data before WNC IT Pro performs services that could reasonably affect computers, servers, storage devices, applications, cloud environments, network equipment, or other systems containing Customer data. WNC IT Pro will exercise reasonable care but cannot guarantee that data will always be preserved, recoverable, or unaffected. Except to the extent liability cannot lawfully be limited, WNC IT Pro is not responsible for data loss or corruption resulting from pre-existing equipment failure, defective storage media, malware, ransomware, cyberattack, third-party services, software failure, Customer action, Customer failure to maintain adequate backups, or circumstances outside WNC IT Pro's reasonable control.

8. Backup and Disaster-Recovery Services

Where WNC IT Pro provides backup or disaster-recovery services, Customer acknowledges that no backup system can eliminate every possibility of data loss. Recovery capability depends upon successful backups, available recovery points, functioning equipment, Internet or cloud availability where applicable, software compatibility, encryption credentials, retention settings, and other technical conditions. Unless otherwise agreed in writing, WNC IT Pro does not guarantee a particular recovery time or recovery point.

9. Cybersecurity Services — No Guarantee of Absolute Security

Cybersecurity products and services are designed to reduce risk, not eliminate all risk. No firewall, endpoint-security product, antivirus system, multifactor-authentication system, email-security system, monitoring service, backup system, network-security product, employee-training program, or other security measure can guarantee prevention of every cyberattack. WNC IT Pro does not guarantee that Customer will never experience unauthorized access, malware, ransomware, phishing, business-email compromise, fraud, data theft, data loss, credential compromise, or another cybersecurity incident. Customer remains responsible for reasonable employee practices, credential protection, access management, internal policies, insurance, and regulatory obligations applicable to Customer's organization.

10. Regulatory and Compliance Matters

Unless expressly stated in a separate written agreement, WNC IT Pro does not provide legal, accounting, regulatory, or compliance certification services. Recommendations concerning cybersecurity, data protection, backups, access controls, or technology practices do not constitute a guarantee that Customer complies with HIPAA, PCI DSS, FTC requirements, professional ethical obligations, insurance requirements, or any other regulatory or contractual standard. Customer remains responsible for determining the legal and regulatory requirements applicable to its business.

11. Third-Party Products and Services

WNC IT Pro's services may involve products and services provided by third parties, including Internet service providers, telecommunications carriers, software companies, cloud providers, hardware manufacturers, cybersecurity vendors, Starlink, hosting companies, POS providers, telephone-service providers, and other vendors. Except where directly caused by WNC IT Pro's failure to perform its contracted obligations, WNC IT Pro is not responsible for third-party outages, service interruptions, discontinued products, software changes, licensing changes, subscription changes, manufacturer warranty decisions, security incidents affecting third-party services, compatibility changes, price changes, or other actions beyond WNC IT Pro's reasonable control.

12. Internet, Cloud, Wi-Fi and Communications Availability

Customer acknowledges that Internet, cloud, VoIP, remote-access, Wi-Fi, cellular, satellite, and other communications technologies may experience interruptions. Performance may be affected by Internet-provider outages, carrier failures, weather, radio-frequency interference, congestion, power failure, equipment malfunction, maintenance periods, terrain, building materials, third-party cloud failures, or other conditions. WNC IT Pro does not guarantee uninterrupted availability of third-party communications or Internet services.

13. Starlink Installation

Where WNC IT Pro installs or integrates Starlink equipment, WNC IT Pro provides installation and network-integration services and does not represent itself as Starlink or guarantee Starlink service availability, speed, pricing, coverage, future compatibility, subscription terms, or continued availability. Customer's Starlink service relationship remains subject to the applicable service provider's terms. System performance may be affected by terrain, trees, obstructions, weather, network congestion, service-provider policies, and other circumstances beyond WNC IT Pro's control.

14. Equipment Compatibility and Obsolescence

Technology changes rapidly. WNC IT Pro does not guarantee that equipment, applications, software, cloud platforms, telephone systems, operating systems, or other technology will remain compatible indefinitely with future products, updates, manufacturers, carriers, or services. Equipment or software that becomes obsolete, unsupported, discontinued, or incompatible may require replacement or additional services.

15. Customer-Provided Equipment and Software

WNC IT Pro may agree to install, configure, integrate, troubleshoot, or service equipment or software supplied by Customer. Unless expressly agreed otherwise, WNC IT Pro does not warrant Customer-supplied equipment or software. Customer assumes responsibility for manufacturer defects, licensing problems, missing components, unsupported equipment, compatibility limitations, counterfeit or improperly sourced products, unavailable technical support, and other deficiencies inherent in products WNC IT Pro did not supply. Additional troubleshooting associated with Customer-supplied equipment may be billable.

16. Structured Cabling and Physical Installation

Customer authorizes reasonable drilling, fastening, equipment mounting, cable routing, wall or ceiling penetration, rack installation, pathway use, and similar physical work reasonably necessary to complete an authorized installation. WNC IT Pro will exercise reasonable care. Unless expressly included in the proposal, drywall repair, painting, finish carpentry, masonry repair, landscaping, roofing repair, structural modification, decorative restoration, or other finish work is excluded.

17. Fiber-Optic and Building-to-Building Infrastructure

Fiber and building-to-building projects may depend upon usable conduit, pathways, trenching, poles, building access, electrical grounding, other trades, utilities, and existing infrastructure. Unless specifically included in the project scope, excavation, directional boring, major conduit repair, utility locating, electrical work, structural work, and restoration are not included. Conditions discovered after pulling or attempting to pull cable through existing pathways may constitute additional work.

18. Permits, Codes and Other Licensed Trades

WNC IT Pro will perform work within its legally authorized scope. When a project requires permits, inspections, electrical work, engineering, or another licensed trade outside WNC IT Pro's authorized scope, such work shall be handled as stated in the applicable project agreement. Requirements imposed by an inspector, authority having jurisdiction, property owner, or governmental authority that were not reasonably included in the original scope may constitute additional work.

19. Work Performed by Other Contractors

WNC IT Pro is not responsible for workmanship, delays, errors, omissions, configuration changes, or damage caused by other contractors or service providers. If another party modifies systems installed or configured by WNC IT Pro, additional troubleshooting or corrective work may be billable and may affect applicable workmanship obligations.

20. Scheduling and Delays

Project dates and completion dates are estimates unless expressly guaranteed in writing. WNC IT Pro is not responsible for reasonable delays caused by weather, shipping, equipment availability, supply-chain interruption, manufacturers, Internet providers, utilities, governmental action, inspection delays, Customer delays, other contractors, emergencies, natural disasters, labor shortages, or other circumstances outside WNC IT Pro's reasonable control.

21. Cancellation and Rescheduling

Customer should provide reasonable notice when requesting cancellation or rescheduling. WNC IT Pro may charge Customer for nonreturnable equipment, specially ordered materials, licenses, committed labor, travel, mobilization, restocking charges actually incurred, or other reasonable costs resulting from Customer cancellation or rescheduling.

22. Payment & Late Fee Terms

Payment is due upon receipt of invoice. A courtesy grace period of thirty (30) days from the invoice date is provided; however, the grace period does not waive or modify the “due upon receipt” payment term. Any balance remaining unpaid after the 30-day grace period will be subject to a late fee of 1.5% per month (18% annually) on the outstanding amount, beginning on the 31st day and continuing until paid in full, at the maximum rate permitted under North Carolina law. WNC IT Pro may suspend non-emergency services for materially overdue undisputed amounts after reasonable notice.

23. Deposits, Special Orders and Licenses

WNC IT Pro may require a deposit or advance payment for equipment, materials, licenses, subscriptions, specially ordered products, or substantial projects. Special-order, custom-configured, activated, licensed, registered, or otherwise nonreturnable products may not be cancelable or refundable after ordering to the extent permitted by law and consistent with applicable supplier terms.

24. Ownership of Customer Equipment and Credentials

Upon full payment of applicable charges, Customer-owned equipment purchased through WNC IT Pro shall belong to Customer, subject to third-party license and subscription terms. WNC IT Pro will not intentionally withhold Customer-owned administrative credentials solely as leverage in a payment dispute, although third-party licensing, subscription, security, and manufacturer restrictions may affect credential availability or transfer.

25. Warranty and Workmanship

WNC IT Pro warrants that its labor will be performed in a professional manner consistent with the contracted scope. Manufacturer warranties for hardware, equipment, software, and third-party products are governed by the applicable manufacturer or provider. Unless expressly stated otherwise in writing, WNC IT Pro does not provide a separate product warranty beyond applicable manufacturer warranties. Workmanship obligations do not extend to failures caused by misuse, Customer modification, third-party work, vandalism, electrical problems, environmental conditions, water intrusion, lightning, cyberattack, malware, acts of nature, Internet or carrier outages, unsupported modifications, or circumstances outside WNC IT Pro's reasonable control.

26. Recommendations Declined by Customer

WNC IT Pro may recommend upgrades, replacements, security measures, backups, equipment, repairs, or other corrective actions. Customer retains the right to decline recommendations. WNC IT Pro is not responsible for losses or failures attributable to a condition about which Customer was informed and for which Customer declined or postponed a reasonably recommended corrective action, except to the extent otherwise required by law.

27. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, OR LOSS OF USE, ARISING FROM THE SERVICES, EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY LAW. Any additional monetary liability cap applicable to a particular project shall be stated in the signed proposal or service agreement.

28. No Consequential Guarantee From Recommendations

WNC IT Pro does not guarantee that a technology recommendation will increase Customer revenue, eliminate downtime, eliminate cyber risk, satisfy every future business requirement, or produce a particular financial result. Technology recommendations are based upon information reasonably available when the recommendation is made.

29. Customer Insurance

Customer is responsible for maintaining insurance appropriate to its business and property, including any property, business-interruption, cyber, crime, equipment, and liability insurance Customer considers necessary. WNC IT Pro's technology services are not a substitute for Customer's insurance.

30. Suspension or Termination

WNC IT Pro may suspend or terminate affected services for material nonpayment, material breach, unsafe working conditions, unlawful requests, abusive or threatening conduct toward personnel, or circumstances in which continued work would be unlawful or unreasonably unsafe. Customer remains responsible for properly incurred charges through termination.

31. Force Majeure

Neither party shall be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, severe weather, utility failures, Internet outages, supply-chain disruption, governmental action, civil disturbance, labor disruption, epidemic conditions, or other events that could not reasonably have been prevented.

32. Dispute Resolution

Before commencing litigation, the parties shall make a reasonable good-faith effort to resolve a dispute through direct discussion between authorized representatives, except when immediate judicial relief is reasonably necessary.

33. Governing Law and Venue

These Terms and each agreement incorporating them shall be governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Venue and jurisdiction shall be as stated in the applicable signed agreement or otherwise in a court of competent jurisdiction in North Carolina.

34. Attorneys' Fees and Expenses

For contracts entered primarily for business or commercial purposes and otherwise qualifying under North Carolina law, the parties may agree that the prevailing party in an action arising from the agreement is entitled to seek reasonable attorneys' fees and expenses to the extent permitted by law. Any such contractual right is intended to be reciprocal and governed by applicable North Carolina law.

35. Electronic Communications and Signatures

Customer consents to receiving proposals, approvals, invoices, service communications, notices, and other ordinary business communications electronically. Electronic signatures and affirmative electronic acceptance may be used where permitted by applicable law.

36. Relationship to WNC Security Pro LLC

WNC IT Pro LLC and WNC Security Pro LLC are separate legal entities. WNC IT Pro provides IT, networking, communications, connectivity, cabling, and related technology services. Regulated security-system services advertised or provided by WNC Security Pro are contracted separately with WNC Security Pro LLC. An agreement with WNC IT Pro does not automatically create an agreement with WNC Security Pro, and neither company's contractual obligations shall be attributed to the other except where expressly agreed in writing.

37. Independent Contractors and Subcontractors

WNC IT Pro may use qualified employees, independent contractors, specialty contractors, vendors, or subcontractors where reasonably appropriate to perform portions of a project. WNC IT Pro remains responsible for its contractual obligations subject to these Terms.

38. Assignment

Customer may not assign a material service agreement to another party without WNC IT Pro's reasonable consent, except as otherwise provided in the applicable agreement or required by law.

39. No Waiver

Failure by either party to enforce a provision on one occasion does not constitute a permanent waiver of that provision or the right to enforce it later.

40. Severability

If any provision is determined to be invalid or unenforceable, the remaining provisions shall remain effective to the maximum extent permitted by law.

41. Order of Precedence

If these general Terms conflict with a provision specifically negotiated and contained in a signed proposal, statement of work, managed-service agreement, or other project-specific agreement, the specifically negotiated provision controls for that project.

42. Entire Agreement

These Terms, together with the applicable signed proposal, statement of work, work order, managed-service agreement, and other documents expressly incorporated into the agreement, constitute the parties' agreement concerning the applicable services and supersede prior discussions concerning that particular scope.

43. Amendments

Project-specific contractual terms may be modified only through a written agreement or change order accepted by authorized representatives of the parties. Updates to general website terms shall not retroactively alter a previously signed project agreement unless the agreement expressly provides otherwise.
