Customer Service Terms & Conditions

These Customer Service Terms and Conditions (“Terms”) apply to security-system, video-surveillance, access-control, door-access, intrusion-detection, fire-alarm, and related services provided by WNC Security Pro LLC (“WNC Security Pro,” “Company,” “we,” “us,” or “our”) to the customer identified in the applicable agreement (“Customer”).

WNC Security Pro LLC and WNC IT Pro LLC are separate legal entities. An agreement with WNC Security Pro does not create an agreement with WNC IT Pro unless separately stated in writing.

1. Scope of Services

WNC Security Pro provides security-related services within the Company's applicable licenses, qualifications, and legally authorized scope. Services may include commercial security cameras and video surveillance, access-control systems, door-access systems, intrusion and security systems, and fire-alarm services within the Company's applicable authorized scope. The specific services provided are those identified in the applicable written proposal, work order, statement of work, or service agreement.

2. Fire-Alarm Services

Fire-alarm work will be undertaken only within WNC Security Pro's applicable licenses, qualifications, and legally authorized scope. Nothing in these Terms represents that any particular security-system license itself authorizes fire-alarm work. Where engineering, design certification, permitting, inspection, monitoring, approval by an Authority Having Jurisdiction (“AHJ”), or another licensed discipline is required, responsibility will be handled as specified in the applicable project agreement and applicable law.

3. No Guarantee Against Loss

CUSTOMER ACKNOWLEDGES THAT NO SECURITY OR LIFE-SAFETY SYSTEM CAN PREVENT OR GUARANTEE PREVENTION OF EVERY BURGLARY, THEFT, FIRE, UNAUTHORIZED ENTRY, PROPERTY LOSS, PERSONAL INJURY, OR OTHER EVENT. Security systems are intended to reduce risk and provide functions such as detection, notification, recording, deterrence, or access management. WNC Security Pro does not represent or warrant that installation of a system will prevent all loss, injury, intrusion, theft, fire, unauthorized access, or other events.

4. System Limitations

System performance may be affected by conditions beyond WNC Security Pro's reasonable control, including power failure, Internet failure, cellular failure, network outage, radio interference, environmental conditions, equipment failure, blocked camera views, lighting, physical obstruction, Customer modification, third-party modification, vandalism, communications failure, or failure of Customer to maintain equipment.

5. Security Cameras and Video Surveillance

Customer understands that camera systems have inherent limitations. WNC Security Pro does not guarantee that cameras will capture every event, eliminate blind spots, identify every person or vehicle, provide usable images under every lighting or environmental condition, or retain footage indefinitely. Image quality and recording availability may depend upon camera placement, resolution, lighting, obstruction, bandwidth, network availability, storage capacity, retention settings, equipment condition, and other factors.

6. Video Storage and Retention

Unless specifically contracted otherwise, Customer is responsible for establishing its desired video-retention period and verifying that recorded video is being retained as expected. Storage capacity and retention periods may vary based upon resolution, frame rate, camera count, activity, compression, storage configuration, and equipment operation. Customer is responsible for preserving relevant recordings before normal system retention causes footage to be overwritten.

7. Privacy and Lawful Use of Cameras

Customer is responsible for using video-surveillance and audio-capable equipment lawfully, including determining where cameras may legally be placed and whether notices, consent, employee policies, or other disclosures are required. WNC Security Pro does not provide legal advice concerning Customer's surveillance practices.

8. Access Control and Credentials

Customer is responsible for determining who should receive access credentials and what areas and schedules each credential should authorize. Customer is responsible for promptly notifying appropriate system administrators of terminated employees, lost credentials, compromised codes, unauthorized users, or other required access changes. WNC Security Pro is not responsible for unauthorized access resulting from Customer's failure to properly administer credentials, passwords, cards, fobs, codes, or permissions.

9. Customer Testing and Maintenance

Customer shall promptly report known malfunctions or abnormal system behavior. Security and life-safety equipment requires appropriate testing, inspection, maintenance, battery replacement, cleaning, updates, and service according to applicable requirements and manufacturer recommendations. Unless WNC Security Pro has expressly contracted to provide ongoing maintenance or testing, Customer remains responsible for arranging required maintenance and testing.

10. Monitoring and Emergency Response

Unless expressly included in a written agreement, WNC Security Pro does not provide or promise central-station monitoring, police response, fire-department response, medical response, guard response, or other emergency-response services. Where third-party monitoring is separately contracted, response times and actions by monitoring providers, telecommunications carriers, police departments, fire departments, emergency medical services, or other third parties are outside WNC Security Pro's control.

11. False Alarms

Customer is responsible for proper operation of installed systems and for reasonable steps to prevent false alarms. Unless caused directly by WNC Security Pro's failure to perform its contracted obligations, Customer is responsible for governmental false-alarm fines, permit fees, dispatch charges, or similar charges associated with operation of Customer's system.

12. Network-Dependent Security Equipment

Many modern cameras, access-control devices, and security systems rely upon Customer's network, Internet connection, Wi-Fi, cellular service, cloud platform, electrical service, or other communications infrastructure. Failure or degradation of those systems may impair security-system functionality. Where WNC IT Pro provides networking or infrastructure services, those services are provided under a separate agreement with WNC IT Pro LLC.

13. Third-Party Products and Cloud Services

WNC Security Pro may install products or systems dependent upon third-party manufacturers, cloud platforms, software providers, Internet providers, cellular carriers, monitoring providers, or other vendors. Except where caused by WNC Security Pro's failure to perform its contracted obligations, WNC Security Pro is not responsible for third-party outages, discontinued products, software changes, subscription changes, cloud failures, communications failures, manufacturer warranty decisions, cybersecurity incidents affecting third-party services, or other circumstances outside its reasonable control.

14. Existing and Concealed Conditions

Pricing and scope are based upon reasonably observable conditions. Undocumented wiring, inaccessible conduit, defective doors, unsuitable door frames, existing electrical deficiencies, hidden structural conditions, hazardous materials, incompatible equipment, code deficiencies, damaged cabling, or other concealed conditions may require additional work and charges.

15. Door and Access-Control Hardware

Existing doors, frames, hinges, closers, locking hardware, electrical infrastructure, and related building components must be suitable for the intended installation. Repair or modification of defective or unsuitable building components is additional work unless expressly included in the project scope.

16. Customer-Provided Equipment

WNC Security Pro may agree to install Customer-provided equipment but does not warrant equipment it did not supply. Customer assumes the risk of product defects, incompatibility, unavailable manufacturer support, missing components, licensing restrictions, discontinued products, or limitations inherent in Customer-supplied equipment.

17. Customer Changes to Systems or Premises

Customer shall notify WNC Security Pro when renovations, construction, equipment relocation, network changes, wall construction, shelving, landscaping, signage, lighting changes, or other modifications could materially affect system operation or camera coverage. WNC Security Pro is not responsible for reduced system effectiveness caused by subsequent changes made by Customer or third parties.

18. Customer Authorization and Site Access

Customer represents that it owns the premises or has authority to authorize the contracted work. Customer shall provide reasonable access to premises, equipment rooms, doors, ceilings, network infrastructure, and other areas necessary for installation or service. Customer-caused delays or unavailable access may result in additional charges.

19. Permits, Inspections and Authorities Having Jurisdiction

Projects involving permits, inspections, fire codes, building codes, or other regulatory requirements are subject to applicable governmental requirements and decisions of the relevant AHJ. No contractor can guarantee that a governmental authority will approve a particular design or installation before the authority completes its applicable review. Required changes imposed by an AHJ that were not reasonably included in the original scope may constitute additional work.

20. Scheduling and Delays

Scheduling is subject to equipment availability, permitting where applicable, inspections, other trades, site readiness, weather, utilities, supply-chain conditions, and circumstances outside WNC Security Pro's reasonable control. Estimated completion dates are not guarantees unless expressly stated otherwise in writing.

21. Payment & Late Fee Terms

Payment is due upon receipt of invoice. A courtesy grace period of thirty (30) days from the invoice date is provided; however, the grace period does not waive or modify the “due upon receipt” payment term. Any balance remaining unpaid after the 30-day grace period will be subject to a late fee of 1.5% per month (18% annually) on the outstanding amount, beginning on the 31st day and continuing until paid in full, at the maximum rate permitted under North Carolina law. WNC Security Pro may suspend non-emergency services for materially overdue undisputed amounts after reasonable notice, subject to applicable law and safety obligations.

22. Warranty

WNC Security Pro warrants that its installation labor will be performed professionally and consistent with the contracted scope. Equipment warranties are governed by applicable manufacturer warranties unless otherwise expressly stated. Warranty obligations do not cover failures caused by vandalism, misuse, Customer modification, third-party work, power problems, network problems, environmental damage, lightning, acts of nature, communications outages, unsupported equipment modifications, or failure to perform required maintenance.

23. Security System Is Not Insurance

Customer acknowledges that WNC Security Pro is providing security equipment and services and is not an insurer of Customer's property, business, employees, occupants, inventory, or other interests. Customer remains responsible for obtaining appropriate property, liability, cyber, crime, business-interruption, and other insurance coverage.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY LAW. Any monetary liability cap applicable to security or life-safety services shall be expressly established in the signed service agreement.

25. Indemnification for Customer Misuse

To the extent permitted by applicable law, Customer shall be responsible for claims arising from Customer's unlawful use, intentional misuse, unauthorized modification, or unauthorized disclosure of information obtained through the installed system, except to the extent caused by WNC Security Pro.

26. Suspension and Termination

WNC Security Pro may refuse, suspend, or terminate work involving unsafe conditions, unlawful requests, work outside its authorized professional scope, material nonpayment, material contract breach, or circumstances in which continued work would violate applicable law.

27. Force Majeure

Neither party is responsible for reasonable delay or failure caused by circumstances beyond its control, including severe weather, natural disaster, utility failure, Internet or telecommunications outage, material shortage, government action, inspection delays, supply-chain interruption, or similar events.

28. Governing Law

These Terms and agreements incorporating them are governed by the laws of the State of North Carolina. Venue and jurisdiction shall be as stated in the applicable signed agreement or otherwise in a court of competent jurisdiction in North Carolina.

29. Dispute Resolution and Attorneys' Fees

The parties shall first attempt in good faith to resolve disputes informally except where immediate legal relief is reasonably necessary. For qualifying business contracts, any contractual right to attorneys' fees and expenses is intended to be reciprocal and governed by applicable North Carolina law.

30. Electronic Signatures

Where permitted by law, agreements may be accepted through an affirmative electronic signature or other legally recognized method of electronic execution.

31. Relationship to WNC IT Pro LLC

WNC Security Pro LLC and WNC IT Pro LLC are separate legal entities. An agreement with WNC Security Pro does not create an agreement with WNC IT Pro unless separately stated in writing, and neither company's contractual obligations shall be attributed to the other except where expressly agreed in writing.

32. Order of Precedence

A specifically negotiated provision in a signed proposal, statement of work, or service agreement controls over a conflicting provision in these general Terms for that particular project.

33. Severability

If a provision is held invalid or unenforceable, the remaining provisions remain effective to the maximum extent permitted by law.

34. Entire Agreement

These Terms, together with the applicable signed proposal, statement of work, work order, service agreement, and expressly incorporated documents, constitute the agreement concerning the applicable services.
